Under Dutch law a contract is formed by offer and acceptance (Article 6:217 of the Dutch Civil Code, BW), usually without any formality, so a deal reached in a meeting or by email can bind you before anything is signed. The main exception to the freedom to walk away: breaking off advanced negotiations can make you liable for the other party’s costs and, exceptionally, its lost profit.

Two further rules shape every negotiation: in a battle of forms the general terms referred to first apply (Article 6:225(3) BW), and a court interprets a contract by what the parties could reasonably expect of each other, not by its wording alone. This article is written for businesses negotiating commercial contracts governed by Dutch law.

How do you prepare a contract negotiation?

Take three decisions before the first meeting: what the deal must achieve, what your alternative is, and who you are dealing with. A Chamber of Commerce (KVK) extract shows who may sign and any limit on that authority.

Make objectives testable: not “a better warranty” but “a 24-month warranty with a defined remedy”. Know your best alternative to a negotiated agreement (BATNA) in numbers, such as the price of a second supplier. Check the counterparty’s filed annual accounts and the Central Insolvency Register (Centraal Insolventieregister) for pending proceedings.

When can you still walk away from negotiations?

Breaking off negotiations is in principle allowed. It becomes unlawful only if it is unacceptable in view of the other party’s justified reliance that a contract would be concluded, or of the other circumstances of the case, as the Supreme Court (Hoge Raad) held in CBB v JPO (ECLI:NL:HR:2005:AT7337, 12 សីហា 2005).

Courts apply this test with restraint, and the party claiming that the break-off was improper must prove it. Where the test is met, the consequence is usually compensation of wasted negotiating costs and, in exceptional cases, the profit the contract would have produced. If you fear being used as a stalking horse, record milestones, the costs you incur at the other side’s request and the assurances you receive.

Can you be bound before you sign?

Yes. Because most commercial contracts require no formality under Article 6:217 BW, a contract exists once the essential elements are agreed, unless it is clear that the parties wanted to postpone the binding effect until signature. If that is your intention, say so in writing, for example “subject to contract and board approval”.

The same applies to a letter of intent: whether it binds depends on its content, not its title. If it should bind on some points only, state which, and place exclusivity, confidentiality and cost provisions in a clearly binding section.

Why should you prepare the first draft?

The party that drafts first sets the structure, the definitions and the default position on every point that is never discussed. Most clauses in a signed contract were never negotiated and read the way the drafter wrote them.

A good first draft has clear definitions, a defensible rather than extreme risk allocation, payment triggers tied to identifiable events and a dispute clause naming the law and the forum. Extreme drafts usually provoke a full counter-draft, which hands the structure back to the other side.

General terms bind the other party if they were declared applicable and the other party had a reasonable opportunity to take note of them, normally by handing them over before or at the time of contracting. Otherwise the other party can annul the terms under Article 6:233(b) BW.

Article 6:235 BW excludes this ground for legal entities that had published their most recent annual accounts when the contract was concluded, for parties employing 50 or more people, and for parties that repeatedly use the same general terms themselves. In a battle of forms, Article 6:225(3) BW applies a first-shot rule: the terms referred to first apply, unless the second party expressly rejects them. A standard rejection clause in your own terms is not enough. Our article on ល័ក្ខខ័ណ្ឌទូទៅ covers the drafting side.

Which clauses actually allocate the risk?

Most negotiating energy goes into price, but most disputes arise from five other clauses. Each of them interacts with a default rule in the Civil Code.

Caps and exclusions are allowed between businesses. Under Article 6:248(2) BW a court can set a clause aside where relying on it would be unacceptable by standards of reasonableness and fairness, typically where the damage was caused intentionally or by conscious recklessness of the supplier’s management. A cap in line with contract value and insurance holds up better than a token amount.
Under Article 6:75 BW a failure that cannot be attributed to the debtor does not lead to damages; a good clause defines the events, the notice duty and the consequences. Under Article 6:258 BW a court can amend or dissolve a contract for unforeseen circumstances, but rarely does so where the contract already allocated the risk.
Under Article 6:89 BW you lose your rights if you do not protest about a defect within a reasonable time after discovering it, or after you should have discovered it. Contracts often shorten this period; put it on the calendar of the operational team.
Distinguish termination for convenience, termination for breach and dissolution, with notice, form and consequences for each. For contracts of indefinite duration, Dutch case law may require a reasonable notice period and sometimes compensation, especially where the other party invested in reliance on continuation.
Under the Haviltex standard of the Supreme Court, a contract is interpreted by what the parties could reasonably attribute to its terms and expect of each other. An entire agreement clause narrows this, and between professional parties the wording carries much weight, but the surrounding facts remain relevant.

Which negotiating techniques work?

The law decides what a clause is worth; technique decides whether you get it. These approaches work well in the Dutch market, where a direct and businesslike tone is the norm.

  • Anchor with a figure you can justify: a benchmark, a competing quote or a cost breakdown.
  • Trade, do not concede: tie every concession to something in return and package open points.
  • Ask why a demand matters: a party insisting on 30-day payment may need cash-flow visibility, which staged invoicing can solve.
  • Own the timetable: agree milestones for drafts and internal approvals, and avoid settling open points in the final hour.
  • Keep the tone workmanlike: the counterparty is often your partner for years. If matters escalate, see our overview of

Record what is agreed as it is agreed: redline in the document itself, keep a log of points agreed and confirm telephone agreements in writing the same day. That log becomes evidence if the contract is later interpreted.

Under Article 3:15a BW an electronic signature has the same effect as a handwritten one if the signing method is sufficiently reliable for the purpose of the document. Deeds that must be notarial under Dutch law cannot be replaced by an electronic signature.

  • Is the governing law and forum clause complete and consistent with the general terms?
KVK extract confirm the signatory’s authority, including any limit on amounts, and is a board resolution needed?
  • Are all schedules attached, dated and correctly referred to?
  • Are notice addresses, methods and periods stated?
  • Has someone who did not draft the contract checked amounts, dates and formulas?
  • Have you referred to your own general terms first and expressly rejected the other side’s?

Which rules can you not negotiate away?

Some outcomes do not survive contact with mandatory Dutch law. Identify them early so you do not waste negotiating capital on them.

For commercial agency, the rules on notice and the goodwill compensation (klantenvergoeding) under Article 7:442 BW cannot be excluded to the agent’s detriment, and a distribution agreement that works as an agency is treated as one. For franchising, Article 7:914 BW requires the franchisor to provide the draft agreement and key information at least four weeks before signing, and not to change the draft to the franchisee’s detriment during that period; see our article on

Is an agreement by email binding under Dutch law?

Yes, in most cases. A contract is formed by offer and acceptance (Article 6:217 BW) and most commercial contracts need no formality. State in writing if you only want to be bound after signature.

Can I be liable for breaking off negotiations?

Only exceptionally: when the other party justifiably relied on a contract being concluded, or other circumstances make the break-off unacceptable. The usual consequence is compensation of wasted costs.

Whose general terms apply if both parties refer to their own?

The terms referred to first, unless the other party expressly rejects them when referring to its own (Article 6:225(3) BW).

Is an electronic signature valid?

Yes, if the method used is sufficiently reliable for the purpose of the document (Article 3:15a BW). Deeds that must be notarial cannot be signed this way.
